Terms of Service
These terms govern your company's use of Plumcot AI. Please read them carefully. Where your company has signed an order form or master agreement with us, that document controls if it conflicts with these terms.
1. Agreement
These Terms of Service are an agreement between SNY AI, Inc., a Delaware corporation doing business as Plumcot AI ("Plumcot", "we", "us"), and the company that signs up for the Service ("Customer", "you"). If you accept them for a company, you confirm you have authority to bind it. The Service is for business use only.
2. The Service
Plumcot provides AI employees for contractors. They do defined work in roles such as precon, operations and office: reading bid packages, building scope sheets, pricing subs, drafting RFIs and submittals, tracking action items and reporting. They work inside the systems you already use and report to people on your team. We also provide the account console, review screens and support (together, the "Service").
Your order form sets out which AI employees, roles and usage you have subscribed to. We may improve and change the Service over time. We will not materially reduce the core functionality you have paid for during a subscription term.
3. Accounts and administrators
- You choose administrators who invite users, assign roles and configure each AI employee.
- You are responsible for your users, for keeping access to your account secure, and for everything done under it. Tell us right away if you suspect unauthorized access.
- Each AI employee reports to a person you name. That person is responsible for reviewing and signing off its work.
4. Connected systems
To work inside Microsoft 365, Procore, Viewpoint or other systems, your administrator must authorize Plumcot in those systems. You confirm you have the right to grant that access. Your administrator chooses which sites, document libraries and mailboxes each AI employee uses, and can revoke access at any time. Your use of third-party systems remains subject to their own terms. We are not responsible for their availability or changes.
5. Your data
- You own it. You keep all rights in the documents, data and messages you or your systems provide ("Customer Data"), and in the work the AI employees produce for you ("Output").
- Our licence. You grant us a limited licence to host, copy, process and transmit Customer Data only to provide, secure and support the Service for you, and as described in our Privacy Policy.
- No training. We do not use Customer Data or Output to train AI models, ours or anyone else's, or to serve other customers.
- Aggregate data. We may use de-identified, aggregated usage and performance information, such as run counts, durations and error rates, to operate and improve the Service. It does not identify you or include your content.
- Your responsibilities. You are responsible for the accuracy and legality of Customer Data, and for having the rights and any notices or consents needed to give it to us.
6. AI output and human review
AI employees can make mistakes. Output may be incomplete, inaccurate or out of date, and it is not professional engineering, legal, accounting or insurance advice.
- The Service is designed so that nothing an AI employee drafts leaves your company without a person's sign-off. You agree to keep that review in place.
- You are responsible for the bids, prices, submittals, contracts and other decisions you make using Output.
- Where Output cites a source page, check the source before relying on it.
7. Acceptable use
You will not, and will not let anyone else:
- use the Service in breach of law or anyone's rights, including by uploading content you are not allowed to share;
- try to gain unauthorized access to the Service, other customers' data, or connected systems;
- reverse engineer, copy or resell the Service, or use it to build a competing product;
- interfere with the Service's security or performance, or get around its usage limits;
- use AI employees to send spam or misleading communications.
We may suspend access to stop a serious breach of this section or a security risk, and will tell you promptly when we do.
8. Fees
You will pay the fees in your order form, on the schedule and in the currency stated there. Fees do not include taxes, which you are responsible for, other than taxes on our income. Unless your order form says otherwise, fees are non-refundable and subscriptions renew for the same term unless either party gives notice of non-renewal at least 30 days before the term ends. We may suspend the Service if undisputed fees are more than 30 days overdue, after giving you notice.
9. Our property
Plumcot and its licensors own the Service, including its software, AI employees' skills, workflows, templates and configurations, and all improvements to them. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription for your internal business. If you send us feedback, we may use it without obligation to you.
10. Confidentiality
Each party will protect the other's non-public business and technical information with at least reasonable care, use it only for this agreement, and share it only with people who need to know it and are bound by similar duties. This does not cover information that is public, already known, independently developed, or lawfully received from someone else. A party may disclose information when the law requires it, with notice to the other party where allowed.
11. Term and termination
- These terms apply for as long as you use the Service.
- Either party may end a subscription if the other materially breaches these terms and does not fix the breach within 30 days of written notice.
- When a subscription ends, your access stops. For 30 days after it ends, you may ask us to export your Customer Data. After that, we delete it, unless the law requires us to keep it.
- Sections 5, 6, 9, 10 and 12 to 16 survive termination.
12. Disclaimers
We will provide the Service with reasonable skill and care, in line with our documentation. Except as stated in these terms or your order form, the Service is provided "as is". To the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service or its Output will be error-free or uninterrupted.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, bids or data, even if told they were possible. Each party's total liability arising from these terms is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law.
14. Indemnity
We will defend you against third-party claims that the Service infringes their intellectual property rights, and pay the resulting damages a court awards or we agree to in settlement. You will defend us against third-party claims arising from Customer Data or your use of the Service in breach of these terms, and pay the resulting damages a court awards or you agree to in settlement. The party seeking defense must give prompt notice, reasonable cooperation and control of the defense.
15. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Harris County, Texas have exclusive jurisdiction over any dispute, and both parties consent to them.
16. General
- Changes. We may update these terms. We will post the new version here and tell your administrators about material changes at least 30 days before they apply to your current term.
- Assignment. Neither party may assign these terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its assets.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Entire agreement. These terms, your order form and our Privacy Policy are the whole agreement on this subject. If a provision is unenforceable, the rest stays in effect. A failure to enforce a right is not a waiver of it.
- Notices. We send notices to your administrators' email addresses. You can reach us at pgoyal@plumcot.ai or SNY AI, Inc., 1134 Arden Forest Dr, Spring, TX 77379, USA.
